5. Repairs:
<br /> Lessee shall at its expense, keep the Equipment in good
<br /> repair, condition and working order at all times.
<br /> r 6. Ownership of Lessor:
<br /> The Equipment shall at all times be and remain the
<br /> exclusive property of Lessor. Possession of the Equipment by Lessee
<br /> shall not vest any right, title or interest in the Equipment to
<br /> Lessee except the right to use the Equipment under the provisions of
<br /> this Lease. Lessee will at all times protect and defend, at its
<br /> expense, the ownership of Lessor against all claims, liens and legal
<br /> processes of Lessee's creditors, and keep the Equipment free and
<br /> clear from all such claims, liens and processes. Lessee shall, at
<br /> its expense, affix and keep in a prominent place on the Equipment,
<br /> markings showing Lessor as the owner of the Equipment. Upon the
<br /> expiration or termination of this Lease, Lessee at its expense shall
<br /> return the Equipment unencumbered to Lessor in the same condition as
<br /> when received by Lessee, reasonable wear and tear resulting from
<br /> authorized use excepted.
<br /> 7. Possession and Use of Equipment :
<br /> Subject to the provisions of Paragraph 2 above, so long as
<br /> Lessee is not in default under this Lease, Lessee may possess and use
<br /> the Equipment in accordance with this Lease. Lessee shall not,
<br /> without the prior written consent of Lessor, make any alterations,
<br /> additions or improvements to the Equipment. Lessee shall use the
<br /> Equipment in a careful, proper and lawful manner. Lessor shall have
<br /> the right from time to time during regular business hours to enter
<br /> upon Lessee's premises or elsewhere to confirm the existence,
<br /> :ondition and proper maintenance of the Equipment.
<br /> 8. Lessee' s Warranties:
<br /> Lessee represents, warrants and covenants to Lessor as
<br /> follows:
<br /> ( a) It has the full right and legal authority to enter
<br /> into and fully perform this Agreement in accordance with its terms.
<br /> ( b) This Lease when executed and delivered by Lessee, will
<br /> be its legal, valid and binding obligation enforceable against it in
<br /> accordance with its terms.
<br /> (c) The execution, delivery and performance by Lessee of
<br /> this Lease, do not and will not violate or cause a breach of any
<br /> agreement, indenture, mortgage, lease, note or other obligation or
<br /> instrument to which it is a party or by which it is bound or
<br /> affected.
<br /> 9. Liability:
<br /> Lessee assumes liability for, and hereby agrees to
<br /> indemnify, defend and hold harmless Lessor, its agents, employees,
<br /> officers, directors, successors and assigns from and against any and
<br /> all liabilities, obligations, losses, damages, claims, demands,
<br /> actions, costs and expenses, including attorney's fees, arising out
<br /> of ( i) the use, condition (including, but not limited to, latent and
<br /> other defects and whether or not discoverable by Lessee or Lessor),
<br /> operation, delivery or return of any item of the Equipment,
<br /> regardless of where, how and by whom operated, ( ii ) any breach by
<br /> essee of any warranty made by it herein, or ( iii) any failure of
<br /> Lessee to perform or comply with any provisions of this Lease.
