• ARTICLE I <br /> DEFINITIONS <br /> Section 1.1. Definitions. In addition to the words and terms elsewhere defined in this <br /> Lease Agreement or in the Indenture,the following words and terms as used in this Lease Agreement <br /> shall have the following meanings unless the context or use indicates another or different meaning: <br /> "Act" -- Title 14, Chapter 164, Subchapter 2 of the Arkansas Code of 1987 Annotated, as <br /> enacted and amended from time to time. <br /> "Additional Bonds" -- Bonds which are issued under the provisions of Section 215 of this <br /> Indenture. <br /> "Bonds" -- The Series 2008 Bonds and any series of Additional Bonds issued under and <br /> secured by this Indenture. <br /> "Bond Fund" -- The fund by that name created and established in Section 501 of the <br /> Indenture. <br /> "Clerk"--The person holding the office and performing the duties of City Clerk of the Issuer. <br /> • "Company" -- Scroll Compressors LLC,a limited liability company organized and existing <br /> under the laws of the State of Delaware, and its permitted successors and assigns hereunder. <br /> "Company Representative" --The person or persons at the time designated to act on behalf <br /> of the Company as evidenced by a written certificate furnished to the Issuer and the Trustee <br /> containing the specimen signature of such person and signed on behalf of the Company by its <br /> President, any Vice President, or its Treasurer. Such certificate may designate an alternate or <br /> alternates. <br /> "Completion Date"--The date of completion of the acquisition,construction and equipping <br /> of the Project,as that date shall be determined by the Company and certified as provided in Section <br /> 3.4 hereof. <br /> "Construction Fund"--The fund by that name created and established in Section 601 of the <br /> Indenture. <br /> "Environmental Laws" -- Any federal, state'or local law, statute, ordinance or regulation <br /> pertaining to health, industrial hygiene or the environmental conditions on, under or about the <br /> Project,now or hereafter enacted or interpreted, including,without limitation,the Comprehensive <br /> Environmental Response, Compensation and Liability Act of 1980 ("CERCLA"), as amended, 42 <br /> • <br /> 2 <br />
