• "Lease Agreement" --This Lease Agreement and any amendments and supplements hereto. <br /> "Lease Payments" --All amounts required to be paid by the Company to the Issuer(and the <br /> Trustee as the assignee of the Issuer)pursuant to Section 5.3 of this Lease Agreement. <br /> "Mayor" -- The person holding the office and performing the duties of the Mayor of the <br /> Issuer. <br /> "Option to Purchase" -- The option to purchase the Premises provided to the Company <br /> pursuant to Section 10.2 of this Lease Agreement. <br /> "Options to Extend"--The options to extend this Lease Agreement set forth in Section 10.1 <br /> of this Lease Agreement. <br /> "Outstanding" -- When used with reference to the Bonds, as of any particular date, the <br /> aggregate of all Bonds authenticated and delivered under the Indenture, except: <br /> (a) Bonds canceled at or prior to such date or delivered to or acquired by <br /> the Trustee prior to such date for cancellation; <br /> (b) Bonds deemed to be paid in accordance with Article IX of the <br /> Indenture; and <br /> © (c) Bonds in lieu of or in exchange or substitution for which other Bonds <br /> shall have been authenticated and delivered pursuant to the Indenture. <br /> "Permitted Encumbrances"--(i)This Lease Agreement and the Indenture;(ii)liens for taxes, <br /> assessments, and other governmental charges not then delinquent or being contested in good faith <br /> and by appropriate proceedings;(iii)any mechanic's,laborer's,materialmen's,worker's,repairmen's, <br /> employee's, supplier's,or vendor's lien(or other like lien)arising in the ordinary course of business <br /> or in connection with the construction of the Project and which are not yet due and payable or which <br /> are being contested in good faith and by appropriate proceedings; (iv) utility, access and other <br /> easements and rights of way, restrictions, reversions and exceptions that will not interfere with or <br /> impair the operations being conducted on the Premises or that are granted pursuant to the terms <br /> hereof, (v) such minor defects, irregularities, encumbrances, easements, rights of way, and clouds <br /> on title as normally exist with respect to properties similar in character to the Project and as do not <br /> materially impair the value or utility of the Project', (vi) any leasehold mortgage; (vii) any other <br /> encumbrance shown on a title policy commitment obtained by the Company as of the date of <br /> issuance of the Bonds;and(viii)any other defect,irregularity,encumbrance,easement,right of way <br /> or cloud on title which is waived or permitted in writing by the Company. <br /> "Premises"--The land,buildings,improvements,machinery,equipment and facilities leased <br /> by this Lease Agreement and described in Section 5.1 hereof. <br /> O <br /> 4 <br />
