A RESOLUTION AUTHORIZING THE PURCHASE OF REAL PROPERTY
WHEREAS,that the City of Batesville is in the process of acquiring property for the
expansion of Riverside Park as voted for by the Citizens of Batesville;and
WHEREAS, that the City is currently leasing property in a long term leaschold to
Independence Count-,, Sheltered Work-ship, Inc. which is located on property designated for
Riverside Park Expansion;and
WHEREAS, that in order to honor the terms leasehold, the City wishes to purchase
property,so that the Independence County Sheltered\Workshop. Inc. can lease said property and
continue to benefit the Citizens of Batesville and allow the City to move forward on park expansion.
NOW,THEREFORE BE IT RESOLVED, BY THE CITY COUNCIL OF THE
CITY OF BATESVILLE,ARKANSAS
SECTION 1:That the City of Batesville hereby authorizes the purchase of real property
from BN Simpson I I(Mings,IJ-C, for the purchase price of S225,000,more or less,per the real
estate purchase agreement which is attached hereto and incorporated herein by reference as Exhibit
"r\". Said real estate purchase agreement contains a legal description of said property.
SECTION 2: 'That this authorization is conditioned upon the Independence County
Sheltered Workshop, 1.1.(: entering into a lease agreement with the City,per the terms of the
attached lease attached hcroo as I?xhibit"B"and incorporated herein by reference.

CONTRACT FOR THE SALE. OF REAL PROPERTY
This Contract of Sale ('Agreement") is made by and between RN Simpson I loldings,
LLC ("Sellers")and the City of Batesville,Arkansas ("Purchaser").
WITNESSETH:
In consideration of the mutual promises herein contained, the Sellers agree to sell,
and the Purchaser Agrees to buy, in accordance with the terms and conditions of this
Agreement,the following real property in Independence County,Arkansas:
Lots Five (5),Six (6) and Seven (7) in Block One (1);
And Lots One (1),Two (2)and Four(4) in Block Three (3); of Heasley's Addition to
the City of Batesville,Arkansas,as appears in Plat thereof of record in Deed Record
Book"D-7",pages 311 to 313,inclusive,of the records of Independence County,
Arkansas.
Commonly Known as:
300 Blossom Drive, Batesville,AR 72501
(hereinafter referred to as the"Property")
1. PURCHASE PRICE.
The Purchase Price for the Property is$225,000 payable at closing.
2. TITLE AND CONVEYANCE.
Sellers are to convey title to Purchaser by Warranty Deed.Title shall be good and marketable,
subject only to: (a)covenants,conditions,easements,agreements,and restrictions of record;
(b) public, private utility easements and roads and right-of ways; (c) applicable zoning
ordinances, protective covenants and prior mineral reservations; and (d) real estate taxes
for the year 2023,water charges and/or sewer rents, if any,subject to apportionment.
3. CONDITION OF PROPERTY.
The Property is being sold as is with the exception of representations made in this
agreement. Purchaser certifies that Purchaser has personally inspected or will personally
inspect, or has had or will have a representative inspect,the Property as fully as Purchaser
desires and is not relying upon any warranties, representations or statements of the Sellers
regarding the Property, whether or not an existing defect may be reasonably discoverable
by Purchaser.

4. CLOSING.
The parties agree that the closing shall be at such time as mutually agreed by the parties.The
parties intend for closing to be within 30 days from the execution of this Agreement. At
closing, Sellers shall deliver to Purchaser a Warranty Deed, executed in proper form for
recording, and sufficient to convey title to the Property in accordance with this Agreement.
5. CONTINGENCIES.
This Agreement shall not be binding on Purchaser unless and until it is approved by
resolution by the Batesville City Council. For purposes of timing of closing, the timeframe
laid in Paragraph 4 of this Contract,the 30 days shall not start until it has been approved by
the City Council.
6. REAL ESTATE TAXES AND CLOSING COSTS.
Any taxes and specials assessments due on or before closing shall be paid by Sellers. Real
Estate taxes shall be appointed as of midnight of the day preceding the date of closing. Buyer
and seller equally pay ordinary closing costs and buyer shall bear the cost of an owner's title
insurance policy if buyer so chooses to purchase said insurance.
7. NO BROKER OR AGENTS.
The parties represent that neither party has employed the services of a real estate agent or
broker in connection with the Property,or that if such an agent has been employed,the party
employing the agent will pay any and all expenses outside the closing of this Agreement.
8. REPRESENTATIONS.
Sellers represent that as of the date of closing there will be no liens, assessments or security
interest which will not be satisfied out of the sale proceeds.
Sellers represents that the Property may legally be used as zoned and that no government
agency has served any notice to seller requiring repairs, alterations, or corrections of any
existing condition.
Sellers represents that: (a) the Property is not the subject of any judicial or administration
notice or action relating to hazardous waste or environmental contamination; (b) Sellers
have received no notice of any claim or violation of any law or regulation having to do with
environmental protection; (c) no hazardous or toxic substances have been stored,processed,
or disposed of on the property during the period that Seller has owned the Property; and (d)
no underground storage tanks are located on the Property.
9. AGREEMENT OF PARTIES.
This Agreement shall contain the entire understanding and agreement between Sellers and
Purchaser with respect to all matters referred to herein and shall supersede all prior or
contemporaneous agreements, representations, discussions and understandings, oral or
written, with respect to such matters.
10. MISCELLANEOUS.
This Agreement may not be altered, amended, changed, waived, or modified in any way
unless the same shall be in writing signed by Seller and Purchaser.
This Contract may be executed in duplicate with seller(s) retaining one true counterpart
hereof and Buyer retaining the other true counterpart hereof. Duly executed photocopies or
facsimiles bearing all signatures of Seller and Buyer shall have the same force and effect as
an original.
This Agreement shall be governed by laws of the state of Arkansas.
The prevailing party in any legal proceeding brought under or with respect to the transaction
described in this Agreement is entitled to recover from the non-prevailing party all costs of
such proceeding and reasonable attorney's fees.
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their
respective successors and permitted assigns.
Time is of the essence in the performance of this Agreement.

COMMERCIAL LEASE
This agreement, made this day of , 2024, between the City of
Batesville, Arkansas, whose address is 500 E. Main St., Batesville, AR 72501 (LESSOR), and the
Independence County Sheltered Workshop, Inc., whose address is 1550 Cottonwood St.
Batesville, AR 72501. (LESSEE); WITNESSETH:
1. Leased Premises: For and in consideration of the rents, covenants, and agreements
herein entered into and agree upon by the Lessee as obligations to the Lessor,the Lessor
lets, leases, and demises unto Lessee, subject to the terms and conditions contained
herein, the following described property situated in Independence County, Arkansas:
a. Said property being commonly known as the building and surrounding real
property situated at 300 Blossom Drive, Batesville, Arkansas 72501.
To have and to hold the premises unto the Lessee for and during the term herein stated,
subject to the covenants, terms, and conditions and liens herein contained.
2. Term: This lease shall commence on , and shall extend for a
term of(8) years, ending at midnight on
3. Rent: In consideration of Lessee vacating the Batesville owned property located at 1550
Cottonwood St., Batesville AR by August 1, 2024 and by its signature hereto annuls any
and all interest Lessee may have in a leasehold attached hereto and incorporated herein
by reference there shall be no rents due until April 1, 2026. Thereafter, Lessee agrees to
pay to Lessor for this lease monthly installments of $1,500 per month in year one, with

each subsequent year of the leasehold adding $100 to the monthly rents, capping out at
$2,000 per month through remainder of lease. Payments shall be due on the first day of
each and every month thereafter during the term of this Lease.
4. Repairs: Lessor shall be responsible for reasonable maintenance and repair of the
premises, until April 1, 2026, at which point Lessee shall assume this duty. Lessee shall
contact Lessor in the event any repairs to the premises are required. Lessor shall be
responsible for all plumbing, heating, and air conditioning repairs, provided that such
repairs are not occasioned by the act, neglect or omission of Lessee or its agents or
invitees. That this responsibility shall be the duty of the Lessee after April 1, 2026. Lessee
shall maintain the premises in the same condition as existed at the commencement of
this lease, reasonable wear and tear excepted.
5. Use: Lessee agrees to use the leased premises for the purposes of operating a social and
educational care for the mentally challenged Monday through Friday, 8 am to 5 pm,
excluding holidays, and for no other purpose(s) without the written consent of Lessor
having been obtained in advance. Failure to use said leasehold for this purpose for than
60 days shall automatically terminate this leasehold.
6. Payment of Rent and Notices: The rent payable hereunder shall be paid to Lessor at 500
E. Main St., Batesville, Arkansas 72501. Any notice provided for herein shall be given, by
either party, via certified mail to the Lessor at the proper address stated above and to the
Lessee as follows:

7. Assignment: Lessee shall not assign this lease or sublet the leased premises without prior
written consent of the Lessor. Any such assignment or sublease shall in no way relieve
Lessee from liability for the obligation imposed by this lease. Lessee may only be released
from liability by a specific written release executed by Lessor.
8. Default: If Lessee shall be in default as to the payment of rent for a period of 30 days, or
as to any other covenant herein provided for more than 30 days after receipt of notice
from Lessor specifying such default, Lessor shall have the right, without limitation upon
any other rights which may be given Lessor by law or by any other provision of this Lease
Agreement,to re-enter the leased premises and relet upon the best terms and conditions
reasonably obtainable, and Lessee shall be liable to the Lessor for the difference, if any,
between the rent so obtained and the minimum rent stipulated to be paid in this lease.
Lessee agrees that in such event, it will vacate the leased premises without further notice.
9. Non-Waiver: It is agreed that the failure of Lessor to invoke any of the available remedies
under this lease or under law in the event of one or more breaches or defaults by Lessee
under the Lease shall not be construed as a waiver of such provisions and conditions and
shall not prevent Lessor from invoking such remedies in the event of any future breach or
default.
10. Holdover: Lessee hereby agrees that upon the termination of this lease by expiration or
by earlier termination for any reason whatsoever, Lessee will peaceably deliver
possession of the leased premises to Lessor. In the event Lessee shall be permitted by

Lessor to hold over after the expiration or termination of this lease, or any extension
thereof,such holding over(in the absence of any written agreement to the contrary), shall
be construed as a tenancy from calendar month to calendar month at a monthly rental
equal to the rental for the last month paid under this lease. A month-to-month tenancy
arising by Lessee's holding over under this paragraph may be terminated by written notice
from either party to the other party on or before the day on which any monthly rent is
due with termination not becoming effective until the day on which the next following
monthly rental would have otherwise become due.
11. Casualty: If at any time the leased premises (or the building which forms the principal
component of the leased premises) shall be damaged by fire, or any other major casualty
not the fault of Lessee, and the cost of repairing the damage does not exceed twenty
percent(20%)of the value of the improvements of the premises herein leased,then lessor
shall as soon as reasonably practicable repair the damage caused by fire or other casualty.
If, however, the damage should exceed twenty percent (20%) of the value of the
improvements of the premises herein leased (or the building which forms the principal
component of the leased premises), then Lessor shall have the option of either repairing
the premises as set out above or terminating this lease as of the date of fire or other
casualty by notice to Lessee within 30 days after such date. If the damage should render
the leased premises untenable for the use of Lessee's business as set forth herein, the
rental from the date of fire or other major casualty not the fault of Lessee, to the date of
completion of the restoration of the premises shall be abated, such abatement being
figured on a pro rata basis of the rentals herein provided.

12. Insurance: Lessee shall be solely responsible for maintaining insurance on its property,
including but not limited to moveables, trade fixtures installed by Lessee, furniture,
furnishings, equipment, and inventory. Lessor shall be responsible for maintaining
owners insurance on the real property.
13. Right to Purchase: At anytime during the course of this leasehold, Lessee may exercise
its option to purchase the property subject to this lease for the total amount of the
purchase price, any remodeling costs, costs of repairs, and costs of maintenance paid by
city during the course of leasehold.
14. Compliance with Laws: Lessee agrees not to violate any law, ordinance, rule, or
regulation of any governmental authority having jurisdiction of the leased premises.
Provided, however, that Lessor shall adopt no ordinance, regulation or resolution
imposing specific conditions on Lessee's operation on the leased premises that are more
stringent than generally applicable throughout the City of Batesville.
15. Title and Quiet Enjoyment: Lessor covenants and warrants that it is the owner of the
leased premises and may lease the premises as herein provided. Upon payment by Lessee
of the rents herein provided and upon the observance and performance of all covenants,
terms, and conditions upon Lessee' part to be observed and performed, Lessee shall
peaceably and quietly hold and enjoy the demised premises for the term hereby demised
without hindrance or interruption by Lessor or anyone acting on Lessor's behalf.
16. Succession: This Lease agreement shall inure to the benefit of and be binding upon the
parties hereto and their respective heirs, successors, and assigns.

17. Waste: Lessee agrees not to commit waste, nor permit waste to result or be done to or
upon the property and premises.
18. Severability: Each paragraph of this lease agreement is severable from all other
paragraphs. In the event any court of competent jurisdiction determines that any
paragraph or subparagraph is invalid or unenforceable for any reason, all remaining
paragraphs and subparagraphs will remain in full force and effect.
19. Interpretation: This lease agreement shall be interpreted according to and enforced
under the laws of the State of Arkansas.
20. Entire Agreement: This lease agreement contains the entire agreement of both parties
hereto, and no other oral or written agreement shall be binding on the parties hereto.
This lease agreement supersedes all prior agreements, contracts, and understandings of
any kind between the parties relating to the subject matter hereof. This agreement may
be executed in one or more counterparts, each of which shall be deemed an original, but
all of which together shall constitute on and the same instrument.
